My understanding of board responsibility is that it's collective. The only
place/time I see where individual board members are held accountable is during
AGMs where members/shareholders vote to retain or replace board members.

It's possible that there is a better way of evaluating individual board members
but haven't come across one yet..:-)

As a general rule, the only check and balance on a board is the voting members
who can
choose to change out the board and the board itself who can (usually) remove a
member
if it is necessary.

The method for measuring the effectiveness of the board is generally up to each
voter
to determine for his/her self and I don’t see any reason this should be
different for AfriNIC.

I think the members of AfriNIC are perfectly capable of electing the board and
that
there is no reason we should dictate to them what criteria they should consider
when
making their votes.

SO: Organisation strategy is operational and its within the scope of staff
(CEO) to develop, while the board exercise oversight at determining if the
strategy is consistent with the organisation's goals and also carrying out
periodic review of progress made in the implementation of the strategy. I
think there was a 5 years strategic plan shared few years ago, but can't
seem to find it on the section of website I expected it will be:

http://afrinic.net/en/library/corporate-documents

I expect new strategic plan for next couple of years would be in the making
by now. Perhaps we will be seeing something at the next meeting.

SO: I guess one of the ways performance of the board [can be]/is evaluated
is through the organisation's reports (annual report, audit report,
periodic staff management reports etc). Checking how those reports are
align/consistent with the strategic plan could be a basis for evaluation.

> Even the metrics are set, how can we evaluate the performance of a single
BOD member while their terms don't start at the same time?
>
SO: Usually the board would be in the best position to make this evaluation
as they would know who is performing or not. To the community, we see the
board as a team, so for example because someone is vocal does not usually
mean he/she is most performing within board. They are all expected to have
different skills/strength. As you know, the board as per bylaw is empowered
to discipline/sanction any board member not performing even up to removal
if necessary. That said, public misconduct/action of individual board is
one thing that can be evaluated by the community and members can on that
basis raise concern about a board member (with the option to remove if
required)

Overall, ultimate judgement is during election.

Hi All

I have just recently joined the list and have been following the discussions on
the Afrinic Board with interest. Whilst I believe it's too early for me to
provide an opinion I have one contribution to make.

Any Board has the fiduciary responsibility to drive the organization's goals as
stipulated by its members /shareholders through its Memorandum and Articles
which usually are broken down by period Strategic Plans. I believe Boards
should ultimately be judged by whether an organisation is meeting/exceeding its

Re: [Community-Discuss] How to mesure performance of afrinic board

2015-12-21 Thread Mark Elkins
The Board was put there by AFRINIC Members in good standing.
Ergo, AFRINIC Members suck at choosing Board Members.

There is a reason why a Term only lasts three years... it allows the
Membership to correct their errors.

I personally think the Board does not suck and is actually pretty good.

[Community-Discuss] How to mesure performance of afrinic board

2015-12-20 Thread Chevalier du Borg
i have been thinking about this for a while. there's a triangle of
check and balance that make this system work

- board check and balance ceo (and staff?)

who does check and balance on board? members only? or the community at large?
I also like to know, what are the thing used to measure whether a
board being effective? should we clarifie this mesures so that its
self-evidence to everyone when board is doing good job or not? should
we add that check and balance formally to responsabilite of governance
committee? i belief good performance and good governance go hand in
hand.

thoughts?
