So as I understand it, you have your net card connected to your cable modem correct? I honestly don't know too much about cable modems so I don't know where to start troubleshooting that, but if you are having problems getting actual eth0 initializing, the problem is probably not so much the cable modem, but the configuration of the netcard itself. You might want to make sure that you have have the driver installed properly and that everything is going ok. Also, check netcfg and make sure you have the "driver.o" file set as the file eth0 is using...even though you have insmod going. Tell me how she goes. I have the same card you probley have it in PNP mode go to 3com website and download the drives for that card then use the Pnpdabl program
