Jayanta Nath, ViswaPrabha, Srikanth, Nikita and Karthik unanimously voted for both these candidates. Radhakrishna Arvapally, a senior Chapter member and former Chairperson of Bangalore SIG was one among them. Due to severe personal engagements, the other person gracefully refused to be an EC Member. Due to privacy concerns, we prefer to conceal his identity. - With this, the number of effective EC members became 6. - On 31st August, an Emergency Telecon was held. Jayanta Nath was elected as the new President as well as Radhakrishna as the new Secretary and ViswaPrabha as the Treasurer. All the existing EC members (viz. Jayanta, Radhakrishna, ViswaPrabha, Srikanth, Nikita and Karthik) attended this telecon and all of them had voted for the new office bearers unanimously. - On 2nd September 2014, there was another Telecon mainly to discuss about the urgent pending matters such as elections, AGM, formation of an advisory committee etc. All the Six EC members (viz. Jayanta, Radhakrishna, ViswaPrabha, Srikanth, Nikita and Karthik) had attended this meeting. - Soon after this meeting was over, Srikant submitted his resignation. With this, the number of effective EC members fell back to 5 (five). This necessitated the co-opting of two more members to the board of directors. - During the next EC telecom, which was held on 5th September, Dr. Ekbal Bappukunju was co-opted in. This was supported by all attendees (viz. Jayanta, Radhakrishna, ViswaPrabha, Nikita and Karthik) unanimously. The EC was now back with a strength of Six members. There was still one more vacancy in the board to be filled up. EC decided to seek out and absorb one more potential candidate from the list of chapter members. - Finally, on 10th September, during yet another Telecon, Nikhil Kawale was co-opted to the remaining one position. This meeting was attended by Jayanta, ViswaPrabha, Dr. Ekbal, Nikita and Karthik) all of them unanimously voted in favour of Nikhil. - As is evident from the above, Wikimedia India Chapter would like to state explicitly and assure everybody who may be concerned that at no point of time during this period, there was a decision or deliberation that took place without sufficient quorum or majority as stipulated by its Memorandum of Association. Further, the Executive Committee itself was never in minority as suggested by certain messages appeared in open mail lists. Hi Ravi, Thanks for asking this question. As I said when we had our IRC conversation, our understanding with all those we have visited during this past year has been that we will not do official site reports at this time beyond a financial review for the Audit Committee, instead creating shared notes with each organisation that serve as a framework for current and future work together. We have visited nine organisations (not all of them full fledged site visits) so far, and believe that this process has helped us build a much stronger rapport and shared understanding of strategy and impact. To elaborate on the reasons for doing it this way: for Garfield and me (as well as other staff and FDC who have accompanied us) the site visit process is about understanding each organisation's context, leadership, financial and other systems, effectiveness, program design, execution and so on. But at the core of it, it's about building trust, and creating a much more supportive atmosphere in which we can ask tough questions of each other (yes, we certainly get our share about WMF), at the same time as build a solid and constructive working relationship together. I know you will appreciate that in order to do this, we need a level of transparency and openness between the organisation and the visiting team - so from the start of the visit, we build our notes together. The organisation is then welcome to share any portion of these collaboratively created notes with whomever they'd like to, including community. In turn, our notes are shared with the FDC, with a financial report going to the Audit Committee. To be clear, this past year was new, and an exploration for all of us in the process: each organisation, WMF staff, the FDC and the community members we interacted with in the process. During such an evolving process, it felt unhelpful to create 'official' reports that could undermine the trust and openness we were seeking to build. In addition, what we did not want to happen is for issues and conversations to be taken out of context and for unhelpful and incorrect comparisons to be made between organisations. It may well be that from next year on, it will feel much more appropriate and helpful for us to create shared public documentation with each organisation of our visits, and I'd be happy to do so. What I think is most useful for all of us right now - and which I intend to do at the end of this fiscal year - is a 'reflections' document that looks at the overall trends and learning from all the site visits in a way that can support movement-wide learning. Hi Ansuman, I think I've made clear on the CIS talk page what the process for the CIS transition was, as best as I am able. Since neither Asaf or I were directly involved at the start, it is difficult for us to give the community details we do not know. The so-called Conflict of Interest issue has been addressed by the Board here, [1] making it clear that they do not believe that there is any CoI involved. If it helps further, I'm happy to quote from my email correspondence with you in February: I'd also like to clarify that I am not 'associated' with CIS in any problematic fashion - I have no CoI and never have had one. I have known Sunil from when I was 21 years old because we worked in the same rural development NGO - 'Samuha' - he worked on the tech side of things in Bangalore, and I was working on livelihood and women's leadership in north Karnataka. We have naturally continued to know each other because of our common interests in social justice and tech issues in Bangalore and beyond. And the grant to CIS was discussed and finalised by Barry before I joined WMF in July 2012; I had nothing to do with that process and did not even know it was happening till I came on board. I hope that clarifies the situation and makes clear why the Board said what it did. I'm happy to respond to any questions about this or anything else. Let me just say that simply knowing someone does not constitute 'conflict of interest' - what is important is to establish that there is no undue influence by and benefit to the 'conflicted person' (a somewhat amusing phrase of legalese) by this situation. Since neither is true, please be assured that there is no CoI whatsoever. I'd also like to point out that our community loses energy and focus by not recognising perceived or actual CoI when it exists, while assuming it exists in situations where it does not. I know it can be confusing, and we've made a start to explore it together at the Wikimedia conference. We are also open to discussion with any interested smaller groups or individuals, over Skype, Hangout, or telephone, time permitting.
