[WISPA] Microsoft offers to buy Yahoo

(NASDAQ:MSFT) today announced that it has made a proposal to the Yahoo! Inc. (NASDAQ:YHOO) Board of Directors to acquire all the outstanding shares of Yahoo! common stock for per share consideration of $31 representing a total equity value of approximately $44.6 billion. Microsoft's proposal would allow the Yahoo! shareholders to elect to receive cash or a fixed number of shares of Microsoft common stock, with the total consideration payable to Yahoo! shareholders consisting of one-half cash and one-half Microsoft common stock. The offer represents a 62 percent premium above the closing price of Yahoo! common stock on Jan. 31, 2008. We have great respect for Yahoo!, and together we can offer an increasingly exciting set of solutions for consumers, publishers and advertisers while becoming better positioned to compete in the online services market, said Steve Ballmer, chief executive officer of Microsoft. We believe our combination will deliver superior value to our respective shareholders and better choice and innovation to our customers and industry partners. Our lives, our businesses, and even our society have been progressively transformed by the Web, and Yahoo! has played a pioneering role by building compelling, high-scale services and infrastructure, said Ray Ozzie, chief software architect at Microsoft. The combination of these two great teams would enable us to jointly deliver a broad range of new experiences to our customers that neither of us would have achieved on our own. The online advertising market is growing at a very fast pace, from over $40 billion in 2007 to nearly $80 billion by 2010. The resulting benefits of scale along with the associated capital costs for advertising platform providers make this a time of industry consolidation and convergence. Today this market is increasingly dominated by one player. Together, Microsoft and Yahoo! can offer a competitive choice while better fulfilling the needs of customers and partners. The combined assets and strong services focus of these two companies will enable us to achieve scale economics while reaching RD critical mass to deliver innovation breakthroughs, said Kevin Johnson, president of the Platforms Services Division of Microsoft. The industry will be well served by having more than one strong player, offering more value and real choice to advertisers, publishers and consumers. The combination will create a more efficient company with synergies in four areas: scale economics driven by audience critical mass and increased value for advertisers; combined engineering talent to accelerate innovation; operational efficiencies through elimination of redundant cost; and the ability to innovate in emerging user experiences such as video and mobile. Microsoft believes these four areas will generate at least $1 billion in annual synergy for the combined entity. Microsoft has developed a plan and process that will include the employees of both companies to focus on the integration of the combined business. Microsoft intends to offer significant retention packages to Yahoo! engineers, key leaders and employees across all disciplines. Microsoft believes this proposed combination would receive all necessary regulatory approvals and expects that the proposed transaction would be completed in the second half of calendar year 2008. Microsoft is also committed to working closely with Yahoo! management and its Board of Directors as they, along with Yahoo! shareholders, evaluate this compelling proposal. Below is the text of the letter that Microsoft sent to Yahoo!'s Board of Directors: January 31, 2008 Board of Directors Yahoo! Inc. 701 First Avenue Sunnyvale, CA 94089 Attention: Roy Bostock, Chairman Attention: Jerry Yang, Chief Executive Officer Dear Members of the Board: I am writing on behalf of the Board of Directors of Microsoft to make a proposal for a business combination of Microsoft and Yahoo!. Under our proposal, Microsoft would acquire all of the outstanding shares of Yahoo! common stock for per share consideration of $31 based on Microsoft's closing share price on January 31, 2008, payable in the form of $31 in cash or 0.9509 of a share of Microsoft common stock. Microsoft would provide each Yahoo! shareholder with the ability to choose whether to receive the consideration in cash or Microsoft common stock, subject to

Ron Wallace wrote: To All, about 6-8 weeks ago someone mentioned a 399 dollar notebook PC. Does anyone know who was offering that and a URL, please. any help is much appreciated. Thanks to all. If you were thinking some assembly required, the One Laptop Per Child was about that price, and probably insanely rugged for our use. However, the hardware specs were pretty low, and they're no longer for sale. And you'd have to fiddle with 'em to install a usable OS (for our purposes, the kid-friendly environment they ship with doesn't count). I'm somewhat disappointed they haven't made a more serious effort to commercialize the OLPC gear, as selling a few of them for a profit would be an obvious way to fund the distribution of OLPCs to the impoverished markets they're ultimately trying to reach. You may also be thinking of the Asus EEE (eeepc.asus.com). It's pocket-sized, with built-in Ethernet and wi-fi and can be persuaded to run Windows XP, but I'd hate to have to type on that teensy keyboard. I still want one, even though the last thing I need is another gadget to collect dust next to my Nokia 770 Internet Tablet... Or maybe you're just thinking of cheap notebooks and not something specifically for WISP-use. Right now, a bottom-of-the-line, minimal features Dell Vostro 1000 is available for $399. It's no speed demon but would work well enough for most basic use, I imagine. David Smith MVN.net WISPA Wants You! Re: [WISPA] Temporary Telescoping Mast
I just picked myself up off the floor ... pricing came back on the HurryUp mast: $1750 list. (this is from one of the Michigan dealers) It looks very nice, but that seems excessive. I looked at these last year, anyone see problems with this: http://www.tmastco.com/TelepolePage.htm Pricing is shown on the webpage (I always like that), about $115. I would just be trying to hold a Lucaya M1208 at the top. They seem to imply you can add 10' via another pole, for a total height of 38'. We started to do this. Ended up stopping as everyone wanted to be that 30 foot higher, but when you built a 60 foot attached tower or 100 foot guyed, it got expensive and then they did'ent want it. You have ultimate control over the traffic leaving your network. You could have it all leave one carrier or balanced in some way. You can influence the traffic coming in by AS prepending, but it's ultimately up to the other networks on the Internet as to how the data gets to you. There are other things that I don't know much about. -- Mike Hammett Intelligent Computing Solutions http://www.ics-il.com - Original Message - From: Matt [EMAIL PROTECTED] To: WISPA General List wireless@wispa.org Sent: Friday, February 01, 2008 1:04 PM Subject: [WISPA] BGP If one were to multihome/BGP a wisp primarily serving home users between Cogent and another carrier like TWT or other where would the majority of the traffic wind up flowing? Re: [WISPA] Temporary Telescoping Mast
How tall are each of the sections in an H40 and H50? I was thinking about using Rohn's 10' tripod to steady the mast while testing. It appears the tripod can accommodate a 2 OD mast. Perhaps fabricate some sort of base that I bolt the tripod to and hold the bottom of the mast for stability. That base would also allow for some ballast. -- Mike Hammett Intelligent Computing Solutions http://www.ics-il.com - Original Message - From: Mike Hammett [EMAIL PROTECTED] To: WISPA List wireless@wispa.org Sent: Wednesday, January 30, 2008 3:33 PM Subject: [WISPA] Temporary Telescoping Mast I'm looking at getting a telescoping mast to check for signals. If I'm next to a house, no big deal... someone stands at the base (I think I saw a steak mount) while someone else stands on the roof to steady. How would I steady it in the middle of nowhere... i.e.: checking to see how I could steady it when I'm checking signal in some experiments\long term production use. [WISPA] FCC Puts Rural Broadband On The Front Burner
Earlier today, the Federal Communications Commission (FCC) and the U.S. Department of Agriculture (USDA) announced two new joint initiatives to push the continued buildout of U.S. rural broadband networks. First, the two are launching an online resource for those in rural America looking to bring the benefits of broadband services to their communities. As such, the Broadband Opportunities for Rural America Web site (http://wireless.fcc.gov/outreach/ruralbroadband) offers the expertise and resources of the FCC and USDA in a single, easily-accessible location and user-friendly format. The new site also provides information on the different technology platforms that can be used to provide broadband service, how to access spectrum necessary for delivery of wireless broadband services, government funding for broadband services, relevant FCC and USDA proceedings and initiatives, and data on broadband deployment. In addition, there are instructions on how to locate companies already licensed to provide wireless services in or near specific rural communities as well as links to other government and private resources related to encouraging broadband opportunities in rural America. In addition, the FCC and the USDA plan to conduct four educational workshops focused on rural broadband during the course of this year. In these forums, communities and organizations in rural America will be able to learn about the resources, programs, and policies of the FCC and USDA regarding broadband technology. Topics will include: The different technology platforms used to provide broadband services, USDA funding for broadband deployment, the FCC's Rural Health Care Pilot program, and wireless spectrum access. Participating communities and organizations also will be encouraged to share their experiences about broadband deployment in rural and hard-to-reach areas. The workshops, held in each of the four regions of the country - Northeast/Mid-Atlantic, South/Midwest, Central, and West - are set for the following places and dates: Blacksburg, Va. (April 30); Saginaw, Mich. (June 19); Austin, Texas (Sept. 18); and Phoenix (Nov. 20). Those interested in attending must register with the FCC no later than Feb. 25.
