I don't know what the licensing for mp3 is, but you can use wma for free. Use the Windows Media Encoder (http://www.microsoft.com/windowsmedia).

So, my box went down so I did, of course, get rid of the task, but I think I
know the answer now. ATI's DVR stuff can control the tv crap with a service,
ATI Scheduler. Even though I wasn't using it, the service _was_ running and
I bet it had some kind of "hook" into the task.

In my experience with ATI, they provide a single large install application. They also break it down into functional install packages. I have had better luck with these smaller install packages.

I had an ATI with video in. It's basically the Multimedia Center but using
an external TV tuner. When it worked, it was nice but when I upgraded my
video card to something else I was happy to not deal with it anymore. I
don't remember what all I did when it had problems, but I now have a Leadtek

Could be a couple of things. Check security permissions on the user that
is trying to kill the process. You can only kill processes belonging to
you. If you're in as administrator and it still won't kill, it's not
permissions.
Also, if the process was started by scheduler, it has to be killed

Setting up the ATI card was a major pain for me as well I tried pretty
much all prior version oft the Multimedia Center until I got version 8.2 to
run stable here. The key for me was to completely remove Multimedia Center
software before installing another version.

My understanding is that commercial applications which encode or decode
MP3 files are *supposed* to be licensed. I think they really only
police high-volume users, like MusicMatch etc.
For Flash, it shouldn't be an issue, since the decoder is in the Flash

And you should see how the movers grown when they see that they have to haul out 75 boxes of books! *S* And that was after my mother sold and gave away at least 1/3 of her books before the move.
I haven't reached that point yet. I think I'm still
