This subject may be better suited for the CFCommunity List, but...my advice
is make sure that EXPLICITLY define what you are and are not going to do. if
you leave that open on any point, you could find yourself doing more than
you bargained. It is well worth it to nail that down before
I'd highly recommend paying a lawyer to draft a template up for you. Free templates
are cool, but the whole
purpose of a legal document is that it covers your arse, and due to differences in
localities, only a lawyer can
ensure there's no loopholes.
For invoicing, I like QuickBooks.
