All you have to do is make sure OWA and IIS are installed on the new server. What DNS name are you giving the new one? If you plan to use the same DNS name, simply adjust where it points in DNS. Ie http://mail.domain.com/exchange or whatever it is

MS' website that describe how to configure the system this way.
As a side note, with E2k, you have to have the "Enterprise" edition of Exchange to
split off the OWA on a different server. I think more people
