GRUB will replace it completely. I don't know the details of your dual-boot system and you'll need to be aware of whether you have lilo installed in the MBR or first-partition. Similarly you should make a note about which drive/partitions your OSes are on. Well, if you have the data saved, then .... yeah, why not? Do you mean that you're worried about the data on the other OS? FWIW I really reccomend using GRUB as opposed to LILO. It's much more powerful and easy to use.
