Aha! that worked like a charm.  The modem, being inherently wierd, was on
cua2 (I knew that much) and caliming IRQ 10 of all things.  I did the
setserial and it sped up the modem communications.  I'm still not getting
it on-line...  I have a few more ideas to try, tho.
