Two things about your PnP modem:
1) I have shared out the IRQ for com2 before without any problem,
the only thing to remember is not to try and use (open) both of the
devices which are sharing the IRQ at the same time unless the hardware
drivers are setup for it. Unlikely in your case.
2) If you are getting a resource conflict when running ISApnp, it
is possible that the BIOS has already tried to configure the card for you.
Try looking in your BIOS setting and see if the BIOS thinks there is a PNP
operating system. If it thinks the OS is not PnP aware, it will try to
configure the cards itself, and the resource conflict error will come up
when you run isapnp.
