There are numerous tools for converting from shapefiles to .osm. Both shp-to-osm and ogr2osm work and you can find more info on the wiki. The hard part is converting tags, which requires knowledge of OSM tagging. Additionally make sure to follow http://wiki.openstreetmap.org/wiki/Import/Guidelines, which includes consulting with the imports@ mailing list.
