Make sure you have your paths specified correctly. The default install dir for tomcat is jakarta-tomcat-4.0.3.
It can be hard to see errors in the initial invocation because the batch files unfortunately use start rather than run. To keep the info on the screen you can change the startup.bat to do a 'run' rather than a 'start' of catalina.bat. (at the end of startup.bat, if I remember correctly).
