I'm wondering if TortoiseOverlays has been installed without sufficient
rights.

What are the file permissions of
%CommonProgramFiles%\TortoiseOverlays\TortoiseOverlays.dll
Does SYSTEM have "full control"?

Here is something to try:
Uninstall TortoiseOverlays
Uninstall TortoiseHg
Install TortoiseHg as local administrator
