I was running into this problem and running the following command solved it:
sudo apt-get install debtags 


While Upgrading to Ubuntu 6.10 using the update-manager I got the following:

Could not install 'debtags'

The upgrade aborts now. Please report this bug against the 'update-
manager' package and include the files in /var/log/dist-upgrade/ in the
bugreport.

subprocess post-installation script returned error exit status 1

But since I didn't notice anything wrong, I forgot about it.

I eventually noticed apt-index-watcher taking lots of CPU and am very
glad I was able to fix it by running the following command:

sudo apt-get install debtags
