I don't know why either -- but I have an idea -- it may be related to a virtual HDD controller. in VBox 3.1.x - it was IDE -- now VBox uses virtual SATA. You can change this manually. VBox GUI->VM->Settings->Storage->Remove SATA and add IDE (PIIX4) controller, then re-add your HDD image.
