I don't know why either -- but I have an idea -- it may be related to
a virtual HDD controller.
in VBox 3.1.x - it was IDE -- now VBox uses virtual SATA.
You can change this manually.

VBox GUI->VM->Settings->Storage->Remove SATA and add IDE (PIIX4)
controller, then re-add your HDD image.

Just an idea.. may work or may not.

GuestAdditions are part of VBox PUEL, but OSE packages don't have them.
Are you using VBox OSE from Ubuntu distro or VBox PUEL from virtualbox.org ?
