Here are the answers to your questions.

1. It(CERTIFICATION) is NOT reuired at all, for Transactions, Codesets, or Privacy but 
it is reuired for Security.

2. Usually not-for-profit organisations are the certifying agencies.  In the HIPAA 
worls, there is NO such thing called "Ceritifying Vendor", since nobody certified them 
to be the certifying authority.  They are all Validation vendors, basically, no matter 
what they say...

3. Since nobody can really give any certificate to hang on the wall, there is no 
liability and yes the other party can reject it.

4. The organisation that generated the transaction.

5. Again there is NO such thing called 'certifying vendor' and am sure  they 
(validation vendors) asnwers their own answers for this.

6.  Penalty is complAInt driven and the provider has to compAIn for not being paid for 
a complIAnt transaction and again the non-existing "certirying vendors" ;-) can't be 
held responsible in case there was a complAInt made.

Can any one clear my doubts. 

1. Why is a certification required at all?
2. While choosing certifying vendor, what are the points one should note?
3. Do the certificates have any legal importance, so if one is certified for one 
Transaction (say 837 I) then other party can not reject it saying its non HIPAA?
4. After certification for any Transaction, if it is found that it is not. Who is 
going to take the responsibility, the certifying organization or the organization who 
has generated the Transaction?
5. What type of guarantee do the certifying vendors give?
6. Is there any penalty for the organizations who claims to be HIPAA compliant and 
found not? so if there is any penalty then who is going to pay for it?
