I'd stay away from ICS. It requires the 'main' computer to be
turned on in other for the second PC to see the shared connection.
When I tried ICS a few years ago, it gave me all kinds of grief.
A cheap hub or ethernet switch should work just fine, allowing
both users 24/7 access regardless of the state of the other PC.

for simple access without ICS is to run analogx's "Proxy", setup of that
is even easier. Keeps the cost down to a short CAT5 lead :)
