I think the problem here is JFW itself.  Can I suggest that you:

1.  Remove JFW if you still have access to Fusion 3 and a VM from that config.

2.  Re-install Fusion 4.01 and then import your VM.  Run it, and use Narrator 
to help you through the VMWare Tools upgrade procedure.

3.  Reinstall JFW, and you should be fine.

I don't personally use JFW, I'd rather sell every computer I own and go and do 
something entirely different than run JFW.  But I think that should work.  We 
managed to upgrade a VM running Window-Eyes without a problem.  Lynne having 
sight managed to upgrade the VMWare tools.  But it was a pretty painless 
experience.

Eric, may I ask you what made you decide to upgrade?
