When all of this came into being, the law killing independent contractors
in Dec 1986... oh I remember so well... the purpose was to get a lot of
missing taxes from people with 'companies' that were not paying taxes,
hidden under layers of subcontracting 'contracts'. At the time the law came
out I was an independent subcontractor to another subcontractor for
teaching SAS in St. Loius to Purina Chow... the top contractor had such a
hard time finding someone to do that job, I was 6 deep in the subcontractor
stack... each taking a piece of the very high bill. My independent company
name... same as today, Stewart Computer Services.

So the IRS decided that if a person, or company, did not meet their
description of a company, regardless of type (corp, independent, whatever),
then your contractor was responsible for back paying all overtime and
employee benefits.... and taxes. By Jan 1987, independent contracting was
almost totally killed as all of the larger companies let go contractors of
all sizes in a storm of IRS fear... especially in accounting and IT.

Today, it still holds true... if a subcontractor's company does not verify
as a true company under an IRS audit, the contracting company will be held
liable.

We got around that in 1987 by forming S-Corps and doing everything by the
book as a corporation... and went back to the same contracts we had lost as
independent contractors... doing the same jobs we did as independent
contractors... paying the same taxes we did as independent contractors...
got to love the Feds.

The complexities and risks of using independent contractors today in any IT
field is possible, but has risks which keep most people using employees.
