I guess it is a permission problem:
According to the source:

        if (!sourceFile.isFile()) {

            mParseError = PackageManager.INSTALL_PARSE_FAILED_NOT_APK;
            return null;
        }

and Log:
W/PackageParser( 2429): Skipping dir:
/sdcard/download/SoftwareDirectory-1_3_0.apk

the check of the apk returned false.
