In setup for modem, there is string of characters that tells the modem how
to behave.  When you send those commands in the same wire as where data will
flow, it is in-band management. This also include telnet session.  If the
interface you are accessing cannot move data, it is out of band management
(console port).  Some device will let you have SNMP running out-of band.

Pro and Con,
If all the interface is down, out of band will be the only way for you to
access the device.  You have to be next to it or access to a computer next
to it.
In-band management, you can manage the device from half way around the
world.
