In-band management uses the transport medium that is being managed 
as the management communications channel.  

Out-of-band management uses a separate management channel.

An analog modem uses in-band management.  The on-off hook signals and
dialed digits are sent over the same medium as the traffic.

ISDN uses out-of-band management.  The on-off hook and call setup is done
on the "D" (driver) channel, and the traffic is carried on the "B" (bearer)
channel(s).  

With in-band management you telnet to a router over the same interface
that you are configuring.  If you accidentally shut it down, you have 
"committed suicide".  With out-of-band you would have a terminal server
connected to the console port.
