Please elaborate: What system are you using, that provides you the old libtool to install, concurrently with the new libltdl-dev? Yes, libltdl-dev provides libltdl3-dev, but you describred something else: you described how explicitly requesting one of them _uninstalled_ the other to replace it - and that does not sound like a single package providing the other virtually. So please elaborate on the system you are using.
