Can't help with the MOTU side of things but I have a motherboard with the same chipset and if I don't disable ACPI then XP sticks every device on the same IRQ!
I would suggest installing XP WITH ACPI enabled seeing what happens and then if you have to, disable ACPI from within XP... It's probably better to enable it if you can.. Good luck!
