No sir, I added 2 new Ex2k3 servers into my existing org/site, one being a FE and ofcourse the the other a BE. You do however need to upgrade your schema in prep for E2003. But I don't think you'll need to upgrade the ADC unless you have E5.5 still in your domain (but correct me if I'm wrong), since your domain and Exchange are replicating already.
