Did you have existing Exchange 2000 Front-end servers? Your reply didn't indicate whether this was the case. When you run Exchange 2003 setup, it will detect if you have existing 2000 FE servers and will not let you proceed (at least this is supposed to be what happens). This ONLY applies to FE servers though. You can have as many 2000 Mailbox servers (Back-end) as you want.
