Upgrade in what respect? Hardware? OS? Exchange? Any other applications running on the box? Any bottlenecks with your current setup (processor, memory, disk, network...)? How hard do the users hit the box? Are the auto-emails for internal addresses or external addresses? Do you have an SMTP gateway or relay host?
