Answering your questions:

1. What I usually do is go to Usercenter and select the option to upgrade
the licenses, then upload them to the SmartCenter (you will get some
warnings that are normal because you are putting NGX licenses on a NG SMC).
Finally upgrade the SMC to NGX and ignore the license upgrade procedure as
now I have both new and old licenses in place.

2. If you try the automatic license upgrade procedure available during the
version upgrade, then yes, you need that machine to have Internet access to
go to the Check Point website and upgrade whatever licenses you have. I
tried this  a couple of times but it did not work properly, that's why I
decided to go with the procedure above for the rest of my NG to NGX
migrations.

Remember you MUST have a valid software subscription for your licenses in
order to have access to upgrade those licenses from NG to NGX, otherwise the
UserCenter will not allow it.
