Do you have the magic line in /etc/inittab?  I have (on SLES 9):

# "Powerdown" from a VM shutdown signal
ca::ctrlaltdel:/sbin/shutdown -h -t 1 now

I think this has to be there or it won't enable itself to receive the signal.
