If you use their brand name, then their trademark value is lowered, and they may lose it legally in the US. This is a simple legal requirement. Also, if you give a distribution to a user, they should not blame redhat if something goes wrong as a result of what you have done. RedHat spends time testing its distribution, and they expect that if you make your distribution, you will do the same. But you cannot use their brand to sell your product.
