This would apper to be the problem the setup that you describe to start
with, doesn't need ip masqing because you have 2 ip's from the cable and
they can both talk to the outside world.

Should be dead easy further details on the cards would help thou (ISA /
PCI / PnP) I think that the 3com is ISA, and the Intel ee is also ISA
which may cause problems but mail me back and I will have a look at it
tomorrow.
