Both MSFT and GOOG had products in this space already (Windows Live Messenger or whatever it is now, and Google Talk or whatever it is now); I think they were both interested in Skype for the same reasons: Mindshare, customer base, perception, with tech secondary. And to keep others from getting it. Facebook doesn't really have much in this space and I could see them being interested for the tech.
