How will i do this, i have a hoary-preview installed, i would like to
upgrade. what i will do first is run apt-get update this will down
load all the update then after its done downloading updates i'll run
apt-get dist-upgrade?

With 'sudo apt-get update', you're not downloading the updates yet. It's just updating the /var/lib/dpkg/available file, to which 'sudo apt-get dist-upgrade' refers in downloading and installing the updates.
