  The primary difference is "what happens", and secondarily, "why you should
choose one or the other".  "Conversion" also implies you are converting
'from' a color space 'to' a color space ... which also implies "the RGB data
is converted".  "Assigning" implies otherwise ... as if the 'from' color
space may be questionable, is not known or has none.  The short of it is
"assign" will change the color, but not the data ... and "convert" changes
the data but not the color (... short of clipping the gamut, if large to
small).  Note also, that one is an incontrovertable change ('cept for using
PS's history or 'undo'), and the other is not.

  AdobeRGB 1998 only implies there is some history with the color space.  It
was an industrial standard at one time ... but suffice to say, what it was
called is more difficult to remember than "AdobeRGB".

  "... what should the destination space be(?)" is determined by the
"target" (jargon).  IOW, if the target is your printer, then the destination
space is your printer's profile (not necessarily the default CMYk definition
mainly because most modern printers are RGB output devices, even if the
print CMYk).  Another example ... if the target is a wwwpage, then the
destination space would be "sRGB".  Your target can also be a client and his
preferred color space.
