There is an excellent Perl script called, sensibly enough, flac2mp3.pl
that you can find on Robin Bowes' site: www.robinbowes.com. It does
exactly what you're asking for. Earlier versions didn't convert album
cover art, but I think the latest one does. Another option for your
initial transcoding is to use dBpoweramp, which is an excellent program
for ripping/burning/transcoding/etc (www.dbpoweramp.com).

As for your FLAC/ALAC issue, I can't think of any clever tricks. Just
doing the grunt work of deleting duplicates album by album. You don't
need to get them all under a single organized directory hierarchy, but
I think it will make your life easier down the road if you do. And you
might as well do it as part of process of weeding out duplicates. For
example, going through your ALAC files you can do the following:

Is it a duplicate of a FLAC?
1) yes ---> delete the ALAC copy
2) no ---> transcode to FLAC, put FLAC version with other FLACs, and
delete ALAC copy

Yes, SC can transcode the ALAC to FLAC, but why not get rid of ALAC
once and for all? Especially since you don't need to re-rip anything.
