no..no.no...don't change the Primary account.  
There should be a permissions tab in his mailbox properties...if not 
you'll need to add it by going to tools, Options...click Permissions and

check the boxes marked Show permissions Page and Show rights for

Once you can get to the permissions page of his mailbox, add the

I looked at his mailbox properties from within Ex 5.5 admin and see that

the primary windows NT account with his account on it.  If I correctly 
understand your suggestions that I need to change this account to his 
assistant or secretary account and proceed with the rest of the steps. 
This is fine if he would totally let his assistant to handle all of his 
mail.  Howerver, in this case, he would like to do it as well so I am 
sort of picking my hair out to see if Exch 5.5 can do it or not.

2) If using Outlook, Click on View...From 
Field.
3) After permissions replicate (up to two hours by default) she 
should be able to send as him by putting his name in the "From" 
field.

is really an Outlook issue, not Exchange. From my limited experience I 
don't think it can be done. You could set up a profile for her to open his 
mailbox but she'd have to close Outlook, re-open under the other profile, etc., 
etc. It gets boring really quick, Are you using OWA? She could 
have 2 OWA sessions open, one to his mailbox, one to hers. Just a 
thought.

set it up correctly (i.e. allocate the right Permissions from Exchange Admin 
(Send As), you should be able to use the From Field directly in the email.

Basically, what 
you are saying that I can add her account as a "Co owner" of his mail box and 
from her mail account she can just pick his name off the GAL and send out. 
If this the case, I don't see where in the Exchange admin\user 
mailbox\properties\NT account sectionthat would allow me to add another NT 
account for his mailbox as a owner role or I just completely miss it 
.

should be able to add the secretary/assistant in addition to your boss. On 
the Permissions tab for the mailbox properties (can't see the Permissions
