I can confirm complete freeze on 12.04
(no mouse, no keybord, no switch to tty possible)

It seems that the system freezes only when I run a virtualbox (with
Windows 7, MS office application running) and additionally browse the
web (firefox) outside the virtualbox. Although this might be
coincidence or only one of possible triggers.

System:
Ubuntu Release 12.04 (precise) 64-bit
Kernel Linux 3.2.0-32-generic
GNOME 3.4.2
nvidia graphics driver version 295.40

Hardware:
Dell Latitude E6520
8 GB memory
Processor: Intel Core i7-2720QM CPU @ 2.20GHz × 8
graphics: NVIDIA NVS 4200M

I had a look into kern.log. Here are the last entries:
[11344.255385] warning: `VirtualBox' uses 32-bit capabilities (legacy support
in use)
 [11350.185989] EXT4-fs (sda2): Unaligned AIO/DIO on inode 7208975 by
VirtualBox; performance will be poor.
 [11432.691593] show_signal_msg: 51 callbacks suppressed
 [11432.691597] VirtualBox[3630]: segfault at 7f9d61cf8cdc ip 00007f9dbb946149
sp 00007fff6eb539d8 error 4 in libc-2.15.so[7f9dbb7fe000+1b5000]

The problem is described here, too:
https://www.virtualbox.org/ticket/10895 but there is no workaround.
