sorry, i forgot to mention i did substitute woody for sid and apt-get didn't complain so I figured I hit a correct directory.
the problem is that it won't install because debconf: Conflicts debconf-utils (< 1.1.0) but 1.0.32 is to be installed.
if I try to use dselect to install midgard, it ends up wanting to remove half my installation while installing a whole lot of new ones.
I don't know how to get around the debconf/debconf-utils.

You can not use SID packages for woody and expect to have it working fine.
Nico made packages for woody (only dpkg): http://siriux.net/files/midgard-1.5.0/
Or use apt-get or dselect with
deb http://www.midgard-project.org/developer/downloads/debian/stable/dists/woody/binary-i386/ ./
