Better hardware, more responsive touch screen, Siri capable. A lot lighter. In general an over all better device. If you've got an iPad third or fourth generation, then it may not be enough to jum to the latest and greatest, but it would be a marked difference if you're going from a second or first generation tablet to the just released iPad.
