The usual things to look at: 1) Type of cpu and cpu specific settings in the bios 2) Ensure no irq conflicts 3) Some motherboard chipsets are not especially asterisk friendly
Also, there have been reports of problems like this running with some combinations of vmware and trixbox (mostly to do with the kernel being run). It can sometimes be a little tricky to find an effective combination of hardware and kernel version and ??? Version that all get along. But a basic asterisk system as you have described does not need crazy new hardware - I ran very well on a celeron 350 Mhz with a similar setup.
