I went back to kernel 2.4.17-16mdk (without APIC) and then tried to do a suspend/resume. Even with pcmcia started the system did not reboot, and the ati module is the older one, unfortunately shortly after the screen came back up the hard drive locked up, as in the newer kernels.... soooo I don't think the hard drive lockup problem is kernel related....
