Well, here's where I ended up...

Handbrake
H.264 - No good, regardless of the setting I tried.
I got the "Apple iPod" preset to work, but only by switching the codec from 
h.264 to mpeg-4.  The video is shrunk from 720x480 down to 320X240, but works 
well enough for my needs.  I'm off to rip some DVDs!!!

ffmepgx - lots of great options here.  Definitely a keeper in the video 
toolbox.  Conversions from H264 rips went well, but since I was able to get the 
Handbrake rip to work, I won't have to run each DVD through the conversion 
process - saving tons of time.
