How do we get the fpcmd.exe version? I don't see it listed on there site and it is not in zip file.

Given the low CPU load, one possibility here is if you are using F-Prot, you may want to switch to use the 32-bit fpcmd.exe file with Declude Virus rather than than the 16-bit F-Prot.exe file. A small percentage of servers (for no reason we've been able to determine) have odd serious performance issues when running too many 16-bit processes, and exhibit symptoms similar to yours.
