The magic of GRUB is that it understands filesystems and kernel exec formats. You have mistaken things, there is no such thing as a grub.conf file. Instead you have this file /boot/grub/menu.lst, wherein you make your changes. After you make changes into menu.lst, it is good practice to update or rather embed your MBR with the GRUB signature. This embedding is done via the 'install or 'setup' commands at the GRUB prompt. Please do go thru the info docs of Grub, it is quite exhaustive and can help you better.
