Use a headset, use a headset and use a headset -- and have your partner do
the same -- that will eliminate echo (keep echo you hear is caused by the
setup at the other end) and may eliminate a lot of delay  and distortion as
well ( echo tends to chew bandwidth -- especially if both ends are echoing).

Your problems may not be completely eliminated by eliminating echo -- there
may be a further problem of not enough bandwidth to use NetMeeting -- about
the only thing you can do here is to try different less busy times of day.

What video buttons are greyed out ? Do you have a camera?

I presume you have all the latest drivers for your camera and sound card
 and are not running a usb camera on Win95 are you?). Freezing video can be
the result of lack of bandwidth to send audio -- see above.
