Because the system will die even in BIOS setup, it really looks
like you have an overheating problem. The first thing I would
check are your fans. I don't think changing the memory is going
to help anything...

Well, Thanks for all the help, it turns out to be the power supply.
The fan wasnt running, the one I originally bought was used 8(
as if they put a return back on the shelf?

how realable is a power supply tester?
With many very good PSU's, the fan(s) rarely run. I have a 430w
Antec like that. Two fans, one on the back, one on the top. The
airflow thru the unit is enough to keep it cool enough without the
fan(s) running (ie, thermostat). If you think the PSU might be the
problem, an is (should be) 300w or higher, try a tester, but I've
never used one. The next thing that should come under scrutiny is
the motherboard. Specially if trying ram sticks, in different slots,
one at a time, after checking (re-seating) all cables an cards
(specially video), doesn't solve the problem.
BTW, memtest is often recommended, but is really a very lite
weight test, misses many ram/motherboard problems. If you want to
test for heat, as Mikkel suspects, run the system with the case
cover off an with a table fan pointed directly into the box. If the
problem stops or is lessened, you have an overheating problem an the
hardware, particularly the mobo, may very well already be fubar'd.
