I think the proposed resolution recorded at 
http://www.genunix.org/wiki/index.php/OGB_2008/003 
  needs more discussion before it's brought to the OGB meeting for a  
decision. Right now it proposes unilaterally replacing section 6.9 of  
the Constitution with new text, which even my most pragmatic leanings  
can't accept is appropriate.

Looking at the existing section 6.9, it says:
> 6.9. Action Without a Meeting. Any action required or permitted to  
> be taken at a meeting of the OGB may be taken without a meeting if  
> all the members of the OGB consent thereto in writing, and such  
> writing is filed with the minutes of the proceedings of the OGB.  
> Such consent shall have the same effect as a unanimous vote.

I believe we can instead choose to interpret this existing text in a  
way that enables the conduct of business via e-mail. I therefore  
propose this resolution for the new OGB:

The OGB RESOLVES that it shall interpret section 6.9 of the  
Constitution to permit conduct via e-mail of business requiring  
consensus.

* The conduct of business via e-mail shall commence when any OGB  
member proposes a resolution.

* The requirement that "all the members of the OGB consent thereto in  
writing" shall be considered met when all members participate in the  
subsequent conversation at least once.

* The opensolaris.org record of the e-mail conversation around the  
matter shall be considered to satisfy the requirement that "such  
writing is filed with the minutes of the proceedings of the OGB".

* At the conclusion of the discussion, an e-mail vote for or against  
the final form of the resolution shall be initiated by an OGB member  
other than the one initiating the work item (or by the Secretary if he/ 
she is not an OGB member), allowing 48 hours from the timestamp on the  
ballot e-mail for response from all members.

* Consensus shall be deemed to be reached if no member votes against  
the resolution, or as soon as all members vote in favour of the  
resolution. At this point "such consent shall have the same effect as  
a unanimous vote."

* Business that does not result in consensus via e-mail may be  
concluded at a properly constituted OGB meeting.
