It will all be Open Game Content.  Therefore, you may copy, modify and

The Open Gaming License defines how you may use the material in general.
The d20 System Trademark License defines how you can additionally gain the
right to use the d20 System logo and various other trademarks.

Hire a lawyer.  This is serious business, using real laws and real
contracts.  If you're not comfortable reading and understanding the licenses
yourself, you should spend the money to get direct counsel.

I suggest that you spend some time reading the materials on the Copyright
office's web site.  A search in Google for "copyright law" will get you lots
