Ok... thank you both (Martin and Doug)... so let me get all this straight...

As long as I make 5% of my product Open Game Content (i.e. new, classes, 
feats, spells, magic items, and monsters) and I don't put anything about 
character creation or advancement (other than the charts for the new 
classes), I can publish it with the d20 logo and put on it, [Requires the D&D 
3rd Edition Player's Handbook™]?

If so... it's not quite as hard as I thought it would be.  I guess I can stay 
away from the SRD... the only reason I wanted to know was I want to mimic 
closely the format of the Race and Class sections so they're familiar to 
readers of the PHB and I want to redo the descriptions of  each of the 
classes to fit the theme/style/genre of the campaign setting.

I guess I have big ambitions and a little pocket book... maybe in a year I 
can put something out for my friends at my local game stores (The Danger Room 
in Anderson, IN and Noblesville, IN).  Then I'll put up up as a web-based 
campaign setting.
