Actually, you don't know that for sure -- it could have been a complete
rewrite.  :) And it also sounds a little unfair to Eric and Tim;
"forking" can have strong negative connotations.

I would put it like this:
        The original developers went on to other projects, and a new, larger,
European-based group took over the development. Partially in order to
make it clear that the Eric is no longer responsible for the code, the
project name was changed to OpenSSL.
